PTA Seeks Public Feedback as Telenor–Ufone Merger Moves Forward
The Pakistan Telecommunication Authority (PTA) has issued a public notice seeking comments on the proposed transfer of licenses of Telenor Pakistan (Private) Limited to Pakistan Telecommunication Mobile Limited (PTML) and the subsequent amalgamation of the two entities.
Under the proposal, PTML will remain the surviving entity upon completion of the regulatory process.
According to the notice, PTA has received a formal application requesting approval for the transfer of Telenor Pakistan’s mobile cellular licenses to PTML.
Subject to regulatory approvals, Telenor Pakistan’s mobile licenses, operations, assets, liabilities, rights, and obligations in Pakistan, Azad Jammu and Kashmir, and Gilgit-Baltistan will be transferred and vested in PTML. Following the completion of the merger, Telenor Pakistan will cease to operate as a separate licensed entity.
The development follows the acquisition of Telenor Pakistan by Pakistan Telecommunication Company Limited (PTCL), which completed the 100 percent purchase on December 31, 2025. PTCL subsequently submitted a merger application to PTA to integrate Telenor Pakistan with its mobile subsidiary, PTML, which operates under the Ufone brand. During the transition period, Telenor Pakistan continues to function as a separate legal entity.
Regulatory authorities are expected to review the proposed amalgamation with respect to market competition, spectrum concentration, and consumer interests. After PTA’s decision, additional approvals will be required from the Securities and Exchange Commission of Pakistan (SECP), along with court sanction through a Scheme of Arrangement, before the consolidation can be finalized.
PTA has invited telecom consumers, stakeholders, interested and affected parties, and members of the public to submit written comments within seven days of the publication of the notice. Submissions may be addressed to the Director General (Wireless Licensing) at PTA Headquarters in Islamabad or sent via the email address specified in the public notice.
